Terms of Service

 All services provided by Spiceapp.us including web application, mobile application, website, blog, software services and application development (“Services”) is owned and operated by Synccam Inc. (“Synccam”, “we”, “us”, “our”, “spiceapp.us” or “SPICEAPP” or “SpiceApp”), a cooperation registered in the state of Pennsylvania.

SpiceApp provides its clients (“CUSTOMER”) with a new-generation food ordering platform that uses latest in web application, mobile application and social media integration to allow users (“END USER”) to order food from select restaurants. Although users are able to place orders through the Services provided by SpiceApp (mobile or web application), SpiceApp or Synccam Inc do not sell the products contained in your order and has no control on the safety or quality of the products or services they offer. We do not verify or inspect the claims made by individual restaurant about the safety, quality, ingredient and descriptions, including any and all dietary claims if stated on the Services provided by SpiceApp. We recommend contacting the restaurant directly to address any specific dietary needs.

By using the Services you acknowledge that you have read, understood and agree to the Terms of Service stated here in and the terms and conditions of our Privacy Policy. The Terms of Service and Privacy Policy can be updated from time to time without notice, which are publically accessible from our home page at www.spiceapp.us 

Account:

Visitors who access our Services can view all publically accessible contents without requiring registration or login.

Only registered and logged in users are able to complete ordering though our Services. Once logged in users are able to access all the contents that visitors can access and will be able to place orders, make payment through credit card, receive alerts and notifications and save additional user information for faster future checkout. All registered users can receive order related push notifications unless disabled in the user settings area of the Services. Transactional emails will also be send to users based on the Services for each order placed.

Third-party usage:

SpiceApp uses third-party services (e.g Vantiv Inc.) to securely process credit card transactions. By using the credit card as a mode of payment for your order, you immediately authorize SpiceApp or its affiliated third-party company to submit and process the payment by your card under your account. You must keep your password for the account strictly confidential and are liable for all charges that occur under your password. By activating or using a third-party or partner product and/or services from one of our third-party providers or partner, you agree to that partner's terms of service.

Refunds:

All refunds are subject to the refund policies of the restaurants from which you order. SpiceApp cannot and will not process any refunds; however we will make reasonable efforts to request the restaurant to obtain refunds when appropriate.

Delivery:

SpiceApp is not a delivery service, nor is it an agent for delivery and makes no warranty or claims of any kind whatsoever with respect to delivery of orders placed though SpiceApp services. Each restaurant is responsible for delivery (if available) either directly or through third-party delivery services. Restaurants may not deliver to every location. We recommend contacting the restaurant directly to enquire about availability of delivery to your location, any additional applicable fees or cancellation of delivery of your order due to inclement weather or other reasons.

Rights:

Restaurants or SpiceApp has the right to regulate, modify and/or eliminate loyalty points/dollars in its sole and absolute discretion at anytime without notice. Loyalty point/dollars earned by using SpiceApp can only be redeemed during purchase using the SpiceApp services for a given restaurant and it may never be redeemed or exchanged for real money or used in stores or out of scope.

SpiceApp has the right to accept, refuse or suspend any individual as a registered user or restrict use of the Service in its sole and complete discretion. You may not transfer or assign your account or any Service benefits. We may take actions we deem reasonably necessary to prevent fraud and abuse, including suspension and/or cancellation of any account, placing restrictions on the amount of content or other services that can be accessed from the Service at any one time.

Restaurants or SpiceApp has the right to regulate, modify and/or cancel orders placed through the Services in its sole and absolute discretion at anytime without notice at any one time.

Ownership:

Except for the rights granted to the Customer and End User herein, all right, title, copyright, and interest in the software, server, software modifications and error corrections will be and remain the property of the SpiceApp.

Disclaimer of Warranties:

Your orders are between you and the restaurant from which you order and SpiceApp is not a party to any such transactions.

The content and services are provided “AS IS” and “AS AVAILABLE” basis without any warranty of any sort.

SPICEAPP DOES NOT GUARANTEE THAT (A) THE SERVICES WILL BE PERFORMED ERROR-FREE OR UNINTERRUPTED, OR THAT SPICEAPP WILL CORRECT ALL SERVICES ERRORS, (B) THE SERVICES WILL MEET CUSTOMER’S or END USERS REQUIREMENTS, SPECIFICATIONS OR EXPECTATIONS. BY USING ANY SERVICES PROVIDED BY SPICEAPP, ITS CUSTOMER’S AND END USER ACKNOWLEDGES THAT SPICEAPP DOES NOT CONTROL THE TRANSFER OF DATA OVER COMMUNICATIONS FACILITIES, INCLUDING THE INTERNET, AND THAT THE SERVICES MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF SUCH COMMUNICATIONS FACILITIES. SPICEAPP IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, OR OTHER DAMAGE RESULTING FROM SUCH PROBLEMS. SPICEAPP IS NOT RESPONSIBLE FOR ANY ISSUES RELATED TO THE PERFORMANCE, OPERATION OR SECURITY OF THE SERVICES THAT ARISE FROM CUSTOMER’S OR ITS AUTHORIZED END USERS’ ACTS (INCLUDING BUT NOT LIMITED TO ERRORS THAT OCCUR DURING ORDER), CONTENT, APPLICATIONS, EQUIPMENTS OR THIRD PARTY CONTENT, APPLICATIONS, EQUIPMENTS. SPICEAPP DOES NOT MAKE ANY REPRESENTATION OR WARRANTY REGARDING THE RELIABILITY, ACCURACY, COMPLETENESS, CORRECTNESS, OR USEFULNESS OF THIRD PARTY CONTENT, AND DISCLAIMS ALL LIABILITIES ARISING FROM OR RELATING TO THIRD PARTY CONTENT, APPLICATIONS AND EQUIPMENTS.

 FOR ANY BREACH OF THE SERVICES WARRANTY, CUSTOMER’S AND END USER’S EXCLUSIVE REMEDY AND SPICEAPP’S ENTIRE LIABILITY SHALL BE THE CORRECTION OF THE DEFICIENT SERVICES THAT CAUSED THE BREACH OF WARRANTY, OR, IF SPICEAPP CANNOT SUBSTANTIALLY CORRECT THE DEFICIENCY IN A COMMERCIALLY REASONABLE MANNER, CUSTOMER MAY END THE DEFICIENT SERVICES AND PROVIDER WILL REFUND TO CUSTOMER THE FEES FOR THE TERMINATED SERVICES THAT CUSTOMER PRE-PAID (IF ANY) TO SPICEAPP FOR THE PERIOD FOLLOWING THE EFFECTIVE DATE OF TERMINATION.

TO THE EXTENT NOT PROHIBITED BY LAW, THESE WARRANTIES ARE EXCLUSIVE AND THERE ARE NO OTHER EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS INCLUDING FOR SOFTWARE, HARDWARE, SYSTEMS, NETWORKS OR ENVIRONMENTS OR FOR MERCHANTABILITY, SATISFACTORY QUALITY AND FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability:

SPICEAPP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF REVENUE OR PROFITS (EXCLUDING FEES UNDER THIS AGREEMENT), DATA, OR DATA USE. SPICEAPP’S MAXIMUM LIABILITY FOR ALL DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT OR TORT, OR OTHERWISE, SHALL IN NO EVENT EXCEED, IN THE AGGREGATE, THE TOTAL AMOUNTS ACTUALLY PAID TO SPICEAPP FOR THE SERVICES UNDER THIS AGREEMENT THAT IS THE SUBJECT OF THE CLAIM IN THE SIX MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM LESS ANY REFUNDS OR CREDITS RECEIVED BY CUSTOMER FROM SPICEAPP.

Disputes:

Any dispute or claim arising from or relating to the use of the Service is subject to the binding arbitration, governing law, disclaimer of warranties, limitation of liability and all other terms of these terms of use.
